These terms govern the spreadsheet and Excel consulting services provided by TheExcelExpert ("we", "us", "our") to you, the client. By engaging our services you agree to these terms.

1. Our services

We provide Excel and spreadsheet services including fixing and repairing files, automating reports, cleaning data, building custom tools, simplifying and documenting existing sheets, and related training. The specific work for each project will be agreed with you in advance, in writing (by email is fine).

2. Quotes and pricing

We provide a free initial diagnosis and a quote before any chargeable work begins. Quotes are valid for 30 days unless stated otherwise. Work only starts once you've approved the quote. If the scope changes once we're underway, we'll agree any revised price with you before continuing.

3. "No fix, no fee"

Where we advertise "no fix, no fee" for a specific repair, it means: if we're unable to resolve the specific, defined problem we agreed to fix, you won't be charged for that work. This applies to the agreed problem only, not to wider issues discovered along the way, and not to build, automation, or consulting projects, which are charged as quoted. We'll always be clear about which basis a given piece of work is on.

4. Payment

Payment terms are due within 14 days of invoice. We accept payment by bank transfer. We reserve the right to charge interest on late payments in line with the Late Payment of Commercial Debts (Interest) Act 1998.

We take care with every file, but you remain responsible for keeping your own backups. Before starting work we recommend you retain an unaltered copy of any spreadsheet. We handle your files confidentially and delete them on request once work is complete, as set out in our Privacy Policy.

7. Revisions and acceptance

Each project includes a reasonable number of revisions to the agreed scope. Work is considered accepted once delivered and not disputed within 7 days. Additional changes beyond the agreed scope may be quoted separately.

8. Intellectual property

Once a project is paid for in full, you own the spreadsheet deliverables we've created for you. We retain the right to reuse general techniques, methods, and non-confidential know-how. We won't use your data or branded materials in examples or marketing without your permission.

9. Limitation of liability

We carry out our work with reasonable care and skill. However, to the fullest extent permitted by law:

Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or anything else that can't be excluded under law.

10. Confidentiality

We keep your business information and file contents confidential and use them only to deliver your project. We're happy to sign a separate non-disclosure agreement on request.

11. Cancellation

Either of us may cancel a project in writing. If you cancel after work has begun, you'll be charged for work completed up to that point. Any deposit covering work already done is non-refundable.

12. Governing law

These terms are governed by the laws of England and Wales, and any disputes will be subject to the courts of England and Wales.
